PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Recursic website (recursic.com), platform, or any related services (collectively, the "Services"), you ("User," "you," "your") agree to be bound by these Terms of Service ("Terms," "Agreement") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Astralis Investments (Pty) Ltd, a company registered in South Africa (Reg. No. 2022/598618/07) trading as Recursic ("Recursic," "we," "us," "our").

If you do not agree to these Terms, you must not access or use the Services.

1. Description of Services

Recursic provides businesses with tailored Artificial Intelligence (AI) solutions designed to enhance productivity, efficiency, and operational capabilities. Our current primary offering includes:

- Internal AI Assistants: AI-powered assistants customized for internal business use cases, such as enhancing productivity, facilitating knowledge management, supporting decision-making, and aiding employee onboarding. These assistants leverage leading AI models and are designed with data privacy and security in mind.

Future services may include, but are not limited to, Customer-Facing Assistants, Automated Workflows, and Autonomous Agents ("Future Services"). The availability and use of Future Services may be subject to additional terms and conditions.

Key aspects of our Services include:
- Tailored solutions based on business needs.
- Emphasis on data privacy and security – we do not use your proprietary data for training public models (See Section 8 and Privacy Policy).
- Access to capabilities derived from various leading AI models.

2. Eligibility and Account Registration

- You must be at least 18 years old and capable of entering into a binding contract to use the Services.
- If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.
- You agree to provide accurate, current, and complete information during the registration process and keep your account information updated.
- You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify Recursic immediately of any unauthorized use of your account.

3. Subscriptions, Fees, and Payment

- Subscription Plans: Recursic offers its Services primarily through subscription plans detailed on our website's pricing page.
- Current Plan: As of the Effective Date, the standard plan is R700 (South African Rand) per user per month, which includes a usage limit of 1,000 messages per user per month. Usage beyond this limit may be subject to additional usage-based fees as specified on the pricing page or agreed upon separately.
- Free Trial: We may offer a free trial period (e.g., 14 days with a 250-message limit). Specific terms of the free trial will be presented at the time of sign-up. At the conclusion of the trial period, your access to the services will expire unless you choose to subscribe.
- Billing: Subscription fees are billed in advance on a recurring monthly basis unless otherwise specified.
- Payment Processor: All payments are processed through our third-party payment processor, PayStack. Your use of PayStack is subject to their terms and conditions and privacy policy. We do not store your full credit card details.
- Taxes: All fees are inclusive of Value-Added Tax (VAT). You are responsible for any additional taxes applicable to your subscription.
- Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice, 30 days, of any fee changes. Continued use of the Services after the fee change constitutes your agreement to pay the modified fee.

4. Cancellation Policy

- Cancellation by You: You may cancel your subscription at any time. You can typically do this through your account settings on the Recursic platform or by contacting our support team at support@recursic.com.
  - Cancellation will take effect at the end of your current paid billing period.
  - You will continue to have access to the Services until the end of your current billing period.
  - No pro-rata refunds will be issued for partial months upon cancellation (See Section 5: Refund Policy).

- Cancellation by Recursic: We may suspend or terminate your access to the Services, with or without notice, for reasons including, but not limited to:
  - Breach of these Terms.
  - Non-payment of fees.
  - Conduct that we determine is harmful to Recursic, other users, or third parties.
  - Compliance with legal requirements or court orders.
  - Discontinuation of the Service.
  - In cases of non-payment, we will typically attempt to notify you and provide an opportunity to rectify the payment issue before termination.

5. Refund Policy

- General Policy: Due to the nature of our Services (Software-as-a-Service subscription), subscription fees paid are generally non-refundable.
- Monthly Subscriptions: Fees paid for a subscription month are non-refundable, even if you cancel your subscription partway through the month. Your access will continue until the end of the paid period as per the Cancellation Policy (Section 4).
- Free Trial: We may offer a free trial period. Specific terms of the free trial will be presented at the time of sign-up. Unless cancelled before the end of the trial period, the trial may automatically convert to a paid subscription, and you authorize us to charge the applicable subscription fee using the payment method provided.
- Usage-Based Fees: Fees charged for usage beyond included subscription limits are non-refundable.
- Exceptions: We will provide refunds only where legally required by South African consumer protection laws. We do not offer refunds for dissatisfaction with the service or if you change your mind.
- Process: To request consideration for a refund under exceptional circumstances or legal requirement, please contact support@recursic.com. We reserve the right to evaluate refund requests on a case-by-case basis, and our decision is final, subject to applicable law. Cancellation of your account does not automatically initiate a refund.

6. User Conduct and Responsibilities

You agree not to use the Services to:
- Violate any applicable laws or regulations.
- Infringe upon the intellectual property rights of Recursic or any third party.
- Transmit any harmful, unlawful, defamatory, obscene, or otherwise objectionable content.
- Attempt to gain unauthorized access to our systems or other user accounts.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services.
- Interfere with or disrupt the integrity or performance of the Services.
- Use the Services for any purpose other than its intended use.

7. Intellectual Property Rights

- Recursic IP: Recursic and its licensors own all rights, title, and interest in and to the Services, including the platform, software, website content, trademarks, logos, and underlying technology (excluding User Data). These Terms do not grant you any rights to use Recursic trademarks or logos.
- User Data: You retain ownership of the data, information, and content you input into the Services ("User Data"). You grant Recursic a worldwide, non-exclusive, royalty-free license to use, process, store, display, and transmit your User Data solely for the purpose of providing and improving the Services to you.

8. Data Privacy and Security

- Your privacy is important to us. Our collection and use of personal information in connection with the Services are described in our Privacy Policy.
- We implement reasonable technical and organizational measures designed to protect your User Data. However, you acknowledge that no system is 100% secure, and we cannot guarantee absolute security.
- As stated on our website, we are committed to safeguarding your proprietary information. We will not use your specific User Data to train general public AI models accessed through our standard Services. We utilize API partners who uphold industry-standard data security and privacy practices. Please refer to our Privacy Policy for more details.

9. Disclaimers

- THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- RECURSIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
- AI MODELS CAN GENERATE INACCURATE OR INCOMPLETE INFORMATION. YOU ARE RESPONSIBLE FOR EVALUATING THE ACCURACY, COMPLETENESS, AND USEFULNESS OF ANY INFORMATION PROVIDED BY THE SERVICES. RECURSIC DISCLAIMS ANY LIABILITY FOR DECISIONS MADE BASED ON THE OUTPUT OF THE SERVICES.

10. Limitation of Liability

- TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RECURSIC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
  - YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  - ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  - ANY CONTENT OBTAINED FROM THE SERVICES; OR
  - UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

- IN NO EVENT SHALL RECURSIC'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED SOUTH AFRICAN RAND (ZAR 100) OR THE AMOUNTS PAID BY YOU TO RECURSIC FOR THE USE OF THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Recursic, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Cape Town, South Africa. The parties agree to first attempt to resolve any dispute informally through negotiation before resorting to litigation.

13. Modifications to Terms

Recursic reserves the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by posting the updated Terms on our website, sending an email notification, or through the Services interface. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

14. General Provisions

- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Recursic regarding the Services and supersede all prior agreements or understandings.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
- Waiver: The failure of Recursic to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Recursic's prior written consent. Recursic may freely assign or transfer these Terms without restriction.
- Notices: Any notices or other communications provided by Recursic under these Terms will be given: (i) via email; or (ii) by posting to the Services.
